Vai trò của Hội đồng Quản trị (HĐQT) càng trở nên quan trọng trong việc định hướng chiến lược, giám sát hoạt động điều hành và bảo đảm trách nhiệm giải trình nhằm nâng cao hiệu quả hoạt động doanh nghiệp. Nghiên cứu đánh giá mối quan hệ giữa đặc điểm HĐQT và Hiệu quả hoạt động doanh nghiệp, với trọng tâm là vai trò điều tiết của quy mô HĐQT. Dựa trên 330 quan sát từ các công ty niêm yết trên HOSE, HNX và UPCOM giai đoạn 2017-2022, áp dụng mô hình hồi quy tuyến tính bội với dữ liệu bảng cùng các kiểm định như F-test, Hausman, Breusch-Pagan, Durbin-Watson, White thực hiện trên phần mềm Stata17. Mô hình hồi quy GLS với cấu trúc AR(1) và phương sai thay đổi theo từng panel cho phép đồng thời xử lý khuyết tật đã phát hiện và cải thiện độ chính xác và hiệu lực của ước lượng đảm bảo tính nhất quán trong phân tích. Kết quả sự kiêm nhiệm và thành viên độc lập ảnh hưởng tiêu cực đến ROE, trong khi đa dạng giới tính cải thiện đồng thời ROA, ROE và Tobin’s Q. Đặc biệt Quy mô HĐQT đóng vai trò điều tiết rõ rệt khi làm tăng cường tác động tích cực của một số biến. Những phát hiện này góp phần cung cấp bằng chứng thực nghiệm về cấu trúc HĐQT tối ưu trong ngành xây dựng Việt Nam, từ đó hỗ trợ doanh nghiệp và nhà hoạch định chính sách thiết kế hệ thống quản trị phù hợp với đặc điểm thể chế và yêu cầu thực tiễn ngành.
Abstract
The role of the Board of Directors (BOD) has become increasingly important in shaping strategic direction, overseeing executive activities, and ensuring accountability to enhance corporate performance. This study examines the relationship between BOD characteristics and firm performance, with a particular focus on the moderating role of board size. Based on 330 observations from companies listed on HOSE, HNX, and UPCOM during 2017-2022, the research applies a multiple linear regression model with panel data and conducts tests including the F-test, Hausman, Breusch-Pagan, Durbin-Watson, and White tests, implemented in Stata17. The GLS regression model with AR(1) structure and heteroskedasticity across panels addresses detected model deficiencies while improving estimation accuracy and validity, thereby ensuring consistency in analysis. The results indicate that duality and independent directors have a negative impact on ROE, while gender diversity enhances ROA, ROE, and Tobin’s Q simultaneously. Notably, board size plays a clear moderating role by strengthening the positive effects of certain variables. These findings provide empirical evidence on the optimal BOD structure in Vietnam’s construction industry, thereby assisting firms and policymakers in designing governance systems suited to the institutional context and practical requirements of the industry.
